Terms of Service

These terms govern your use of BidPaid. By creating an account you agree to them. If you are accepting on behalf of a company, you confirm you are authorized to do so.
The service
BidPaid is software for trade subcontractors to build and send proposals, manage change orders, issue invoices, and collect payment online. We provide the tool. The work, the pricing, the documents and the promises in them are yours.
Your account
- You must give accurate account information and keep it current.
- You are responsible for keeping your password secure and for everything done under your account.
- One account is for one business. Tell us if you suspect unauthorized access.
Trial, plans and billing
- Every new account gets a 14-day free trial with full access. No card is required to start.
- After the trial you need a paid plan to keep using the app. Plans are billed monthly or yearly in advance and renew automatically until cancelled.
- You can cancel at any time from Settings. Cancellation stops the next renewal; you keep access until the end of the period you have already paid for.
- We do not provide refunds for partial periods unless the law requires it. If something has genuinely gone wrong, email us — we would rather sort it out than argue about it.
- We may change prices. Existing subscribers get at least 30 days’ notice by email, and the new price applies from the next renewal.
- Plan limits (bids per project, change orders, monthly invoices) are described on the pricing page and enforced in the app.
Payments from your clients
Online payments run through Stripe Connect on an account connected to your business. Practically, that means:
- You are the merchant of record. Your client pays you directly; the money goes to your connected Stripe account, not to us.
- You pay Stripe’s processing fees, and you are responsible for chargebacks, refunds and disputes with your clients.
- BidPaid charges a platform fee of 1% of each payment collected through the app, in addition to your subscription.
- Using payments means also accepting Stripe’s Connected Account Agreement. We are not a bank, a payment processor, or a party to the contract between you and your client.
Your content
You keep ownership of everything you put into BidPaid. You grant us only the licence needed to host, process and display it so the service works — for example rendering your proposal as a PDF and delivering it to the client you addressed it to.
You are responsible for the accuracy and legality of your documents, including that your proposals, contracts and invoices comply with the rules of your trade, state and licensing body. BidPaid does not provide legal, tax or accounting advice, and our templates are starting points, not legal documents.
Electronic signatures
BidPaid captures electronic signatures on proposals and change orders and records the time they were signed. It is your responsibility to confirm that an electronic signature is sufficient for your contracts and jurisdiction.
Acceptable use
Do not use BidPaid to:
- break the law, or send fraudulent or deceptive documents or invoices;
- send unsolicited bulk email through the platform;
- upload malware, or attempt to breach, overload or reverse-engineer the service;
- access another user’s account or data;
- resell or white-label the service without our written agreement.
We may suspend or close accounts that do these things.
Availability
We work to keep BidPaid available and backed up, but we do not promise uninterrupted service. We may need downtime for maintenance, and we depend on third parties (hosting, email, Stripe) that can have their own outages.
Disclaimer and liability
The service is provided “as is”, without warranties of any kind to the extent the law allows. We are not liable for indirect or consequential losses, including lost profits, lost bids, or lost data. Where liability cannot be excluded, our total liability is limited to the amount you paid us in the 12 months before the claim.
Nothing here limits liability for fraud, or for anything that cannot legally be limited.
Ending the agreement
You can close your account at any time. We may suspend or terminate an account for a material breach of these terms, or for non-payment. You can export your data before you leave; see the Privacy Policy for how long we keep it afterwards.
Changes
We may update these terms. If a change is material we will tell you in the app or by email before it takes effect. Continuing to use BidPaid after that means you accept the new terms.
